1. Introduction
Welcome to Syno Hub. These Terms & Conditions govern your use of the Platform, website, applications, services, interfaces, features, subscriptions, and related systems, whether accessed via the web, mobile phone, or any other technological means. For the purposes of this document, the term "Platform" means Syno Hub and all of its current or future services, content, systems, and features. The term "Operator" means the owner or operator of the Syno Hub Platform. The term "User" means any natural or legal person using the Platform, including companies, agencies, advertisers, influencers, content creators, models, fashion models, actors, photographers, freelancers, or any other party registering, browsing, publishing, submitting, contracting, or otherwise using the Platform in any manner. By accessing, registering with, or using the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions. If you use the Platform on behalf of a company, institution, agency, or any legal entity, you represent and warrant that you have full legal authority to bind such entity to these Terms. If you do not agree to these Terms & Conditions, you must immediately cease using the Platform.
2. Scope of Service and Nature of the Platform
Syno Hub is a digital platform intended to connect companies, brands, agencies, and advertisers on the one hand, with influencers, content creators, talents, fashion models, and providers of creative services on the other hand, through profiles, collaboration opportunities, communication tools, discovery and search features, subscription services, and other operational or marketing features. The User acknowledges and agrees as follows: - The Platform operates as a technical, organizational, and digital intermediary and shall not be deemed a principal party to any negotiation, agreement, contract, obligation, or dispute arising between Users unless the Platform expressly states otherwise in writing. - Any contractual, financial, advertising, operational, or execution-related relationship between Users shall remain their sole and exclusive responsibility. - The Platform does not guarantee the conclusion of any deal, campaign, or collaboration, nor the achievement of any commercial, marketing, or financial results. - The Platform does not guarantee the accuracy, completeness, suitability, reliability, or legality of any data, offers, profiles, performance indicators, or information provided by Users. - The Platform reserves the full right to develop, modify, suspend, discontinue, or restructure any part of its services, features, operating mechanisms, categories, pages, or tools at any time and without prior obligation to provide compensation.
3. Legal Capacity
The Platform may only be used by persons who: - Have full legal capacity to enter into binding contracts under the applicable law. - Provide true, complete, and non-misleading information. - Are not prohibited, suspended, or barred from using the Platform pursuant to a decision issued by the Operator. - Comply with all laws, regulations, and instructions applicable in the relevant jurisdiction or jurisdictions related to their use of the Platform. The Platform may request any documents, data, identity verification, licenses, powers of attorney, commercial, tax, professional, banking, or media documents to verify the eligibility of any User, and it shall have the absolute right to accept, reject, suspend, or delete any account where it is not satisfied as to the sufficiency, accuracy, or legality of such documents or information.
4. Registration and Accounts
Upon creating an account on Syno Hub, the User shall be obligated to: - Provide accurate, current, and complete information. - Update such information whenever it becomes inaccurate or incomplete. - Maintain the confidentiality of login credentials, passwords, and verification methods. - Bear full responsibility for all activities conducted through the account. - Refrain from creating more than one account for misleading, fraudulent, or circumvention purposes. - Refrain from selling, transferring, leasing, granting, or enabling any third party to use the account without the prior written consent of the Platform. The Platform shall have the right, without incurring any liability, to: - Accept or reject any registration request. - Request verification of any information or document. - Freeze, suspend, or delete an account temporarily or permanently. - Change the username, profile URL, account classification, account status, or visibility level. - Suspend or limit any feature associated with the account. - Recover or reassign usernames, links, or displayed designations if it deems this necessary for legal, regulatory, operational, brand protection, anti-misrepresentation, anti-impersonation, or third-party rights reasons.
5. Verification, Review, and Approval
The Platform may adopt review, audit, manual, technical, or operational screening mechanisms before accepting accounts, files, opportunities, campaigns, content, offers, or data, or before displaying, highlighting, or activating them on the Platform. Any verification, approval, or acceptance by the Platform shall not constitute any warranty, liability, or final endorsement as to the validity, legality, quality, or suitability of the User, content, service, or offer.
6. Subscriptions, Fees, and Payments
The Platform may offer free and paid packages to Users, including packages designated for companies, agencies, influencers, content creators, or others. The User agrees as follows: - Certain features, tools, visibility opportunities, access, publication, search, communication, analytics, priority treatment, or support may only be available under paid packages and depending on the type of subscription. - Fees, prices, currencies, subscription periods, benefits, usage limits, and restrictions may be amended, updated, suspended, or supplemented at any time as determined by the Platform. - The User shall pay the applicable fees, taxes, commissions, and expenses, if any, in accordance with the timelines and methods approved by the Platform. - Unless expressly stated otherwise in writing, all payments are final and non-refundable, whether the package is used in whole, in part, or not used at all. - The User shall not be entitled to request any refund, compensation, or discount due to account suspension, limitation of certain features, removal of content, rejection of a request, or modification of Platform features resulting from the User's violation or from operational, technical, or commercial updates. - The Platform has the right to suspend, cancel, or decline to activate any subscription or feature upon payment failure, suspicion of fraudulent activity, or breach of these Terms. - The Platform may offer promotions, discounts, or special packages to certain categories or for specific periods without any obligation to make them available uniformly to all Users. - In the event of subscription renewal, renewal may occur in accordance with the system announced on the Platform at the time of renewal, and the User shall be responsible for reviewing the package details and applicable prices before completing payment or continuing the subscription. - The Platform may engage third-party payment, collection, or financial processing service providers, and the Platform shall not be liable for any delay, error, rejection, failure, or additional fees arising from such parties, while the User remains responsible for the accuracy of his or her payment details.
7. Content, Files, and Published Materials
Each User shall remain solely and fully responsible for any data, information, texts, images, videos, profiles, performance indicators, prices, offers, campaigns, links, messages, comments, documents, designs, marks, or materials uploaded, sent, published, or otherwise made available through the Platform. The User undertakes that all materials submitted are: - True and non-misleading. - Owned by the User or lawfully licensed for the User's use and publication. - Non-infringing of any third-party right, including intellectual property rights, privacy rights, reputation, confidentiality, contractual rights, licensing rights, or image rights. - Not in violation of any law, public order, public morals, or Platform policies. By uploading, publishing, or sending any content, the User grants the Platform a worldwide, non-exclusive, sublicensable, royalty-free license to use, copy, store, archive, process, analyze, format, display, publish, make available, improve, and promote such content on and off the Platform, to the extent necessary for operating, developing, marketing, documenting, protecting, and pursuing the Platform's legitimate purposes. The Platform shall retain the right to reject, remove, modify, reformat, restrict, conceal, archive, disable, or delete any content, file, material, data, or campaign, in whole or in part, at any time and without prior notice, if it deems, at its sole discretion, that such action is appropriate, necessary, or required for operational, legal, technical, commercial, regulatory, or protective reasons relating to the Platform, its Users, or its reputation.
8. Intellectual Property Rights
All rights relating to the Platform, including without limitation the trade name, trademark, logos, visual identity, designs, texts, templates, codes, databases, classification mechanisms, user interfaces, software, algorithms, features, outputs, marketing materials, and the overall structure of the Platform, are rights exclusively owned by the Platform or its licensors and are protected under applicable laws. No User may, without the prior written consent of the Platform: - Copy, reproduce, substantially excerpt, republish, sell, license, or exploit any part of the Platform. - Extract, scrape, automatically retrieve, compile, or commercially reuse data from the Platform. - Decrypt, reverse engineer, or circumvent any system or protective measure. - Use the Platform's name, mark, identity, or anything similar thereto in a manner that falsely suggests partnership, endorsement, license, or official representation.
9. Data, Analytics, Indicators, and Visibility
The Platform may display numbers, indicators, classifications, percentages, descriptive data, analytics, visibility levels, preferences, recommendations, search results, or file rankings. The User acknowledges that: - Such data may be approximate or estimated and may be based on User input, third-party input, or internal technical mechanisms. - Such data does not constitute a guarantee of actual results or performance, nor any commitment on the part of the Platform. - The Platform has the right to amend its methods of display, ranking, classification, highlighting, or recommendation at any time and without notice.
10. Management's Right to Amend, Remove, and Suspend
Without prejudice to any other rights, the Platform shall have the right at any time, in its sole and absolute discretion, and without incurring any liability or obligation to compensate, to: - Delete, amend, suspend, stop, or conceal any content, account, opportunity, campaign, page, data, comment, message, or file. - Refuse the publication or approval of any content, file, opportunity, request, campaign, or advertisement. - Suspend, restrict, cancel, or terminate any account, subscription, feature, or access. - Amend the conditions of eligibility, acceptance, visibility, classification, verification, or publication. - Restructure or discontinue any section, package, feature, category, market, or activity within the Platform. - Take any preventive, precautionary, or final measure it deems necessary to protect the Platform, its Users, its interests, its reputation, or its legal compliance. Failure to exercise any such right in a particular instance shall not constitute a waiver thereof at any later time.
11. Dealings Between Users
Any communication, negotiation, contracting, payment, performance, delivery, production, publication, dispute, claim, or breach arising between Users shall remain their personal and direct responsibility. The Platform shall bear no responsibility for: - The quality, legality, safety, authenticity, seriousness, or outcomes of any collaboration or campaign. - Payment default, delay, cancellation, withdrawal, or non-performance. - Intellectual property disputes, advertising use disputes, moral rights disputes, or image rights disputes. - Any direct or indirect damage, loss of profit, loss of reputation, loss of data, loss of opportunity, or loss of business relationship arising out of dealings between Users. The Platform may, without obligation, intervene in a mediatory, administrative, or procedural capacity if it deems appropriate, and such intervention shall not create any obligation, liability, or status as a party to the dispute.
12. No Partnership, Agency, or Employment Relationship
No use of the Platform, registration thereon, publication through it, negotiation via it, or collaboration through it shall give rise to any partnership, agency, employment, representation, joint venture, or exclusive relationship between the Platform and any User, or among Users themselves, unless otherwise expressly provided in a separate, explicit, written agreement.
13. No Circumvention of the Platform
The User is prohibited from using the Platform to reach Users, opportunities, data, or contact details and then circumventing the Platform, its commercial, subscription, or organizational systems, or exploiting such access in a manner that defeats the purpose of the Platform's services or conflicts with its legitimate interests, without the prior written consent of the Platform.
14. Representations and Warranties
The User represents and warrants to the Platform that: - The User's use of the Platform is lawful and legitimate. - All submitted information is accurate and non-misleading. - The User possesses all powers, licenses, and rights necessary for any content, offer, or collaboration. - The User will not use the Platform to harm the Platform, its Users, or any third party. - The User will not violate these Terms or any policy, instruction, or standard issued by the Platform.
15. Indemnity and Hold Harmless
The User agrees to indemnify, defend, and hold harmless the Platform, its owners, affiliates, directors, employees, agents, and advisors from and against any claims, actions, losses, damages, liabilities, fines, costs, expenses, or legal fees arising out of or relating to: - The User's use of the Platform. - The User's breach of these Terms or Platform policies. - The content, materials, or data submitted by the User. - The User's dealings or disputes with any other User or third party. - The User's violation of any right, law, or contractual obligation.
16. Limitation of Liability
To the fullest extent permitted by law, the Platform and its services are provided on an "as is" and "as available" basis, without any express or implied warranties. The Platform shall not be liable for: - Service interruptions, slowness, or errors. - Loss or corruption of data. - Technical failures, breaches, viruses, or cyberattacks. - Failure to achieve anticipated results. - The acts or conduct of Users or third parties. - Any direct, indirect, consequential, special, incidental, or punitive loss or damage. In all cases, the Platform's aggregate liability to the User, if legally established, shall not exceed the amount of fees actually paid by the User to the Platform during the three months preceding the cause of claim, or the value of the subscription in dispute, whichever is less, unless otherwise required by law.
17. Force Majeure
The Platform shall not be liable for any delay, interruption, or inability to provide the service, whether in whole or in part, resulting from events beyond its reasonable control, including general failures, technical outages, disasters, large-scale cyberattacks, governmental orders, disputes, unrest, or any similar force majeure circumstances.
18. Termination and Suspension
The Platform may suspend, restrict, or terminate access to the Platform, the account, the subscription, or any part thereof immediately, with or without notice, if: - The User breaches these Terms, the Acceptable Use Policy, or any other policy. - False, misleading, or incomplete information has been provided. - The Platform suspects fraud, misuse, harmful conduct, or unlawful conduct. - Operational, security, or legal necessity so requires. - The Platform determines that the continued existence of the account, content, or activity may cause harm, risk, or liability. Termination or suspension shall entitle the Platform to remove content, disable access, cancel some or all features, and retain records and data for legal, regulatory, defensive, or operational purposes.
19. Electronic Notices and Communications
The User agrees that notices, approvals, alerts, and communications relating to the Platform, the account, the subscription, amendments, violations, or administrative actions shall be valid and effective if sent electronically by email, in-Platform notifications, or any digital means adopted by the Platform.
20. Amendments
The Platform reserves the right to amend these Terms & Conditions at any time. The User's continued use of the Platform after publication of the amended version shall constitute valid acceptance thereof. The User is responsible for periodically reviewing the Terms.
21. Governing Law and Dispute Resolution
These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of Iraq, unless mandatory legal provisions require otherwise. The competent courts of Baghdad, having subject-matter and territorial jurisdiction, shall have jurisdiction over any dispute arising out of or in connection with these Terms, unless the Platform adopts an alternative dispute resolution mechanism or arbitration as provided in a notice or separate agreement.
22. General Provisions
- If any provision is found to be unenforceable or void, the remaining provisions shall remain in full force and effect. - No failure by the Platform to exercise any right shall constitute a waiver thereof. - The Platform may assign or transfer its rights or obligations to any affiliated entity or legal successor. - The User may not assign his or her account, rights, or obligations without the prior written consent of the Platform. - These Terms constitute the entire agreement between the User and the Platform in relation to the use of the Platform, unless a separate written agreement exists. - The provisions relating to intellectual property, limitation of liability, indemnity, jurisdiction, record retention, and any provisions which by their nature are intended to survive, shall remain valid and binding after termination of the account, subscription, or contractual relationship.
